These Terms of Service (“Terms”) form a binding agreement between you and Intelligent Energy Solutions LLC (“Hooshi”, “we”, “us”) governing your use of the Hooshi voice-keyboard applications, websites and related services (together, the “Service”). By downloading, accessing or using the Service, or by subscribing, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Hooshi is a push-to-talk voice keyboard for desktop and mobile. It records short audio you dictate, converts it to text using automated speech recognition, optionally cleans up and translates that text, and inserts the result into the application where your cursor is. Speech recognition, text “polish” and translation are performed by automated and AI-based systems and can contain errors. You are responsible for reviewing output before relying on it, particularly for important or sensitive text.
2. Eligibility and account
You must be at least 16 years old (or the age of digital consent in your country) and able to enter into a binding contract. Some features require an account. You are responsible for the accuracy of your registration details, for keeping your credentials secure, and for activity under your account. Notify us promptly of any unauthorised use.
3. Free trial (7-day demo)
New users may receive a 7-day free demo. During the demo you are not charged. Unless you start a paid subscription, paid features stop when the demo ends. We may change, limit (for example to one per user or device) or withdraw trial offers at our discretion.
4. Subscriptions, billing and payments
Paid access is offered as an auto-renewing subscription billed monthly or annually. Current prices are shown on our pricing page and at checkout before you pay, and may be localised to your country and currency.
Our authorised reseller and Merchant of Record is Paddle.com Market Ltd and its affiliates (“Paddle”). Paddle — not Hooshi — is the seller of record for your purchase: Paddle processes your payment, charges any applicable taxes (such as VAT or GST), issues invoices and handles billing enquiries. Your purchase is therefore also subject to Paddle’s Buyer Terms and Privacy Notice, available at paddle.com.
Auto-renewal. Subscriptions renew automatically at the end of each billing period at the then-current price, using your payment method on file, until cancelled. By subscribing you authorise Paddle to charge these recurring amounts. We will give notice of a price change before it applies to a renewal.
5. Cancellation
You can cancel at any time from your account or via the link in your Paddle receipt or email. Cancellation stops future renewals; your access continues until the end of the period already paid for. Cancelling does not by itself entitle you to a refund of the current period, except as set out in our Refund Policy or as required by law.
6. Refunds
Refunds are handled in accordance with our Refund Policy and are processed by Paddle. Nothing in these Terms limits the mandatory consumer rights available to you under applicable law.
7. Licence and acceptable use
We grant you a limited, personal, non-exclusive, non-transferable and revocable licence to install and use the Service for your own lawful use during your subscription. You must not: (a) copy, resell, sublicense or redistribute the Service; (b) reverse-engineer, decompile or attempt to extract source code or models, except to the extent this restriction is prohibited by law; (c) circumvent usage, security or entitlement limits; (d) use the Service to break the law, infringe others’ rights, or dictate or transcribe content you have no right to process; or (e) interfere with or place an unreasonable load on the Service.
8. Your content
“Your Content” means the audio you dictate and the resulting text. As between you and us, you own Your Content. You grant us a limited licence to process it solely to provide the Service — transcription, optional polish and translation, and delivery back to your device — and to operate and secure the Service. Dictation audio is processed transiently and is not retained for long-term storage, as described in our Privacy Policy. You are responsible for having the rights and consents necessary for the content you dictate.
9. Third-party apps and services
The Service inserts text into, and interoperates with, third-party applications and operating-system features (for example accessibility and microphone APIs). We are not responsible for third-party software, and your use of it is governed by its own terms.
10. Automated output; no professional reliance
Recognition, polish and translation output is generated automatically and provided for convenience. It may be inaccurate or incomplete and is not professional, legal, medical, financial or other advice. Review output before you use it.
11. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that output will be accurate.
12. Limitation of liability
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill. Our total aggregate liability arising out of or relating to the Service is limited to the amount you paid for the Service in the 12 months before the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including your mandatory statutory consumer rights.
13. Suspension and termination
We may suspend or terminate access if you materially breach these Terms, to protect the Service or other users, or as required by law. You may stop using the Service and cancel at any time as described above. Provisions that by their nature should survive termination will survive.
14. Changes to these Terms
We may update the Service and these Terms. If we make material changes, we will take reasonable steps to notify you (for example in-app or by updating the “Last updated” date). Changes apply from the date they are posted; continued use after that constitutes acceptance. If you do not agree, stop using the Service and cancel.
15. Governing law
These Terms are governed by the laws of Georgia, and the courts of Batumi, Georgia have jurisdiction, without prejudice to any mandatory consumer-protection rights you have in your country of residence. For payment transactions, Paddle’s terms and the law referenced in them also apply.
